These Terms of Use ("Terms") govern your access to and use of ToolGPT: AI Media Assistant on Android, iOS and toolgpt.io, including its chat assistant, local tools, online tools and cloud features (together, the "Service" or "App"), provided by InverseAI ("InverseAI," "we," "us," or "our"). Features, providers, limits and purchase options depend on your platform, release, region and selected plan. By downloading, accessing or using the Service, you agree to these Terms. Our Privacy Policy explains how we handle information. If you do not agree to these Terms, do not use the Service.
1. Acceptance of these Terms
These Terms form an agreement between you and InverseAI. Android downloads and purchases through Google Play are also subject to applicable Google Play terms. iOS downloads and purchases through the App Store are also subject to applicable Apple terms and the applicable app license. Web purchases are subject to the checkout terms shown to you. Where mandatory store terms or consumer law conflict with these Terms, those mandatory provisions control to the extent of the conflict.
2. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. If you are under 18, you may use it only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. To make purchases, you must have legal authority to enter into a binding contract and use the selected payment account.
3. License to use the App
Subject to your compliance with these Terms and applicable store rules, InverseAI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to access the website and use the mobile App on supported devices you own or control, solely for personal, non-commercial purposes unless separately agreed with us. This license does not transfer ownership of the Service. Your rights to use your content and outputs are described in sections 6 and 7.
4. Description of the service
ToolGPT helps you edit, convert, compress, generate and otherwise process video, audio, photos and documents through chat and tool interfaces. Some operations run locally on your device or in your browser; others upload selected content to our servers, storage systems or connected providers. Not every feature is available on every platform or release.
• The chat assistant and online processing need an internet connection. Chat messages, relevant file details and tool results are processed remotely. Online tools can also transmit original files, extracted text, images, video frames or other selected content. Local-only processing does not itself mean the original file is uploaded.
• Features, output quality, file sizes, and processing times may vary depending on your device hardware, available storage, operating system, and the characteristics of your source files.
• We may add, modify, suspend, or remove features, tools, AI models, credit costs, and usage limits at any time.
• We do not guarantee that any task will produce a particular file size, quality, or result for every file or device.
5. Your account
Supported versions may create a guest account or browser identity before you sign in. You may sign in through the Google or Apple options offered on your platform. You are responsible for activity under your account and keeping your device and sign-in access secure. Credits, purchases, history and cloud access depend on the account, app and platform to which they are linked; a purchase does not automatically grant access or a shared balance on every ToolGPT platform. If you lose a guest identity, uninstall the App or clear browser data without linking an account, we may be unable to restore its history or credits. Current account-deletion controls may deactivate an account while retaining server records. Permanent-erasure requests and retained-data exceptions are described in Privacy Policy section 10.
6. AI features and outputs
• AI can be wrong. The assistant's replies, suggestions, estimates (such as predicted file sizes), and actions are generated automatically and may be inaccurate, incomplete, or unsuitable for your purpose. Review settings and results before relying on them.
• You stay in charge. The assistant suggests settings for you to review. You are responsible for the tasks you ask it to run, including tasks that replace or delete files.
• Your rights in inputs and outputs. As between you and us, you keep your rights in the messages you send and the files you process, and you may use the assistant's replies and the files the App produces for any lawful purpose. Replies may not be unique, and other users may receive similar replies.
• License to operate the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit and display the content you submit or upload, including chat messages, selected files and feedback, only as needed to provide, secure and improve the Service as described in our Privacy Policy. We do not acquire ownership of your content. After deletion or a verified erasure request, any continuing retention or processing is limited to the purposes and exceptions described in the Privacy Policy, such as legal records and security.
• Reporting problems. If the assistant produces a reply that is offensive, harmful, or wrong, please report it using the in-app feedback option or by contacting us.
7. Your content and responsibilities
You retain your rights in the videos, audio, photos, documents and other files you process ("Your Content"). Local operations use files on your device or browser. Online operations and cloud features may access, transmit and store selected files and outputs as described in the Privacy Policy; we do not claim ownership of them. You are responsible for having the rights, licenses and permissions needed for the content and actions you request, including uploads, processing and publication to connected services.
Back up your files. Processing can be resource-intensive and may, in rare cases, produce incomplete or unusable output. Some tools can also replace or delete your original file when you ask them to (for example, after saving a compressed copy), and deleted files may not be recoverable. You are responsible for maintaining backups of your original files. We are not responsible for any loss of or damage to Your Content.
Cloud storage and connected actions. Where available, cloud storage is linked to your signed-in account and subject to its quota and access controls. An actual online-tool upload may also retain an original in your ToolGPT cloud on versions that support this flow; selecting a file or sending only metadata does not by itself guarantee a cloud copy. Guest uploads for online processing are not a promise of permanent personal cloud storage. If a quota or upload fails, do not assume the original has been backed up. Deleting a chat, deleting a cloud item and deleting an online-processing copy are separate actions. Link expiry limits access, not necessarily retention of all copies. Keep your own backups.
Connected services receive the content and action details needed for the operation you authorize. You are responsible for the destination and recipients you select. Revoking a connection or deleting a ToolGPT copy does not remove a post or file already sent to another service.
8. Subscriptions, credits, billing, and free trials
Available offers can include auto-renewing subscriptions, one-time credit packs and, where offered, lifetime plans. Android in-app purchases use Google Play Billing; iOS in-app purchases use Apple In-App Purchase. Web purchases, where offered, use the payment provider displayed at checkout, such as Stripe. The displayed offer and applicable store or checkout rules govern pricing, renewal and purchase fulfillment. Availability on one platform does not mean an offer is available on all platforms.
• Credits. Some online and AI features use credits. The App or checkout shows the allowance, price, refill schedule and applicable expiry. Credits have no cash value and cannot be transferred, sold or exchanged for money. Purchased credit-pack balances and expiring subscription/free allowances are tracked separately; subscription allowances may expire or refresh without carrying over. Deactivating an account can remove access to its balance without immediately erasing the underlying financial records. Permanent erasure can make a remaining balance unrecoverable, subject to mandatory refund rights.
• Free plan and usage limits. The free plan includes a limited allowance, which may reset daily. We may change allowances, usage limits, and the number of credits a feature uses, but we will not reduce the balance of credits you have already purchased.
• Rewarded ads. You may be able to earn credits by watching rewarded ads. Rewards are added only after the ad view is confirmed, may be limited, and may be changed or discontinued at any time.
• Ad removal. An eligible subscription or lifetime plan removes ads. Credit packs do not remove ads.
• Auto-renewal. An auto-renewing subscription renews according to its purchase confirmation unless canceled before the applicable renewal deadline. For Apple subscriptions and trials, cancel at least 24 hours before the period ends if you do not want renewal. For Google Play and web purchases, follow the deadline and cancellation instructions in the store or checkout.
• Billing. The relevant Apple, Google or web payment account is charged under the offer you confirm. Prices, taxes, periods and included benefits may vary by region and platform and are shown before purchase. We receive transaction and entitlement information to verify the purchase; we do not receive full payment card details from Apple or Google.
• Free trials and introductory offers. Eligibility, duration, included benefits and the price after a trial are shown in the offer. Unless canceled by the applicable deadline, a trial may convert to a paid subscription. Upgrades or new purchases may end a trial under the relevant store rules; check the confirmation before proceeding.
• Cancellation. Manage Android subscriptions in Google Play under Payments & subscriptions, and Apple subscriptions in your Apple Account settings under Subscriptions. For a web subscription, use the billing-management option supplied at checkout or contact support@inverseai.com. Cancellation normally stops future renewal; access for an already-paid period follows the offer and applicable rules. Deactivating or deleting your ToolGPT account, signing out, clearing browser data or uninstalling the App does not by itself cancel a store subscription.
• Refunds. Mandatory consumer rights and applicable store refund rules continue to apply. Request Google Play refunds through Google and Apple-billed refunds through Apple. For a web purchase, contact support@inverseai.com with the order reference, not your payment card details. Refund eligibility and any adjustment to unused credits or entitlements depend on the purchase, usage, applicable law and relevant store or payment rules.
• Price changes. We may change prices for subscriptions and credits. Where required, we will notify you and obtain any necessary consent before a change takes effect.
9. Advertising
The free version of the App is supported by third-party advertising (including Google AdMob), including optional rewarded ads. By using the free version, you agree that ads may be displayed to you and that our advertising partners may collect and use certain data as described in our Privacy Policy. We are not responsible for the content of third-party advertisements or for any products or services advertised.
10. Acceptable use
You agree not to, and not to attempt to:
• Use the App for any unlawful purpose or to process content that infringes the rights of others or violates any law;
• Use the assistant to create, request, or share content that is illegal, harassing, hateful, sexually exploits minors, or promotes violence or self-harm;
• Share other people's personal information in the chat without their permission;
• Bypass, manipulate, or disable the assistant's safeguards, usage limits, or credit system, including through "jailbreak" or prompt-injection techniques;
• Obtain credits or rewards through fraud, automation, fake ad views, or payment abuse, or sell or transfer credits or access to your account;
• Use the App or its outputs to build or train a competing AI model or service, or extract the assistant's replies at scale;
• Reverse engineer, decompile, disassemble, modify, or create derivative works of the App, except to the extent expressly permitted by applicable law;
• Copy, distribute, rent, lease, sell, sublicense, or otherwise commercially exploit the App without our written permission;
• Circumvent, disable, or interfere with security, licensing, subscription, credit, or advertising features of the App;
• Use automated means, bots, or scrapers to access the App or our servers, or introduce malware or harmful code; or
• Use the App in a way that could damage, disable, overburden, or impair it or interfere with any other party's use.
We may limit, suspend, or terminate access for accounts that break these rules.
11. Intellectual property
The App, including its software, design, text, graphics, logos, trademarks (including the names "ToolGPT" and "ToolGPT: AI Media Assistant"), and all related intellectual property, is owned by InverseAI or its licensors and is protected by applicable laws. Except for the limited license granted above, these Terms do not grant you any right, title, or interest in the App or our intellectual property. Your rights in Your Content and in the assistant's replies are described in sections 6 and 7.
12. Feedback
If you send us feedback, ratings, or suggestions, you allow us to use them to improve the App without any obligation to you.
13. Third-party services
The Service uses third-party services appropriate to the selected platform and feature, including Google or Apple sign-in, Google Play Billing, Apple In-App Purchase, web payment processors such as Stripe, advertising and analytics services, AI and media-processing providers, hosting and cloud storage, and optional connected destinations. Your use of those services may also be subject to their terms and privacy policies. InverseAI provides ToolGPT; Apple and Google do not operate or support ToolGPT merely because they distribute it. Nothing here excludes responsibilities that cannot lawfully be excluded.
14. Disclaimer of warranties
THE APP, INCLUDING THE AI ASSISTANT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT IT WILL MEET YOUR REQUIREMENTS, OR THAT ANY OUTPUT, RESULT, OR AI-GENERATED REPLY WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INVERSEAI OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, FILES, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $25.
16. Indemnification
You agree to indemnify, defend, and hold harmless InverseAI and its affiliates, officers, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the App, Your Content, your chat content, or your violation of these Terms or applicable law.
17. Termination
These Terms remain in effect while you use the Service. We may limit or terminate access for violations or if we discontinue the Service, subject to applicable law. Abuse can result in loss of access to unused credits, subject to mandatory rights. If we discontinue a paid service, we will give reasonable notice where possible and handle unused purchased credits as required by law and the applicable store or checkout rules. You may stop using the Service and request account deactivation or erasure as described in the Privacy Policy. This does not by itself cancel a subscription. Provisions that should survive termination, including intellectual property, applicable disclaimers, liability limits and governing law, continue to apply.
18. Updates to the App and to these Terms
We may release updates, bug fixes, or new versions of the App, and we may update these Terms from time to time. When we make material changes to these Terms, we will revise the "Last updated" date above and, where appropriate, provide notice within the App or on the store listing. Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
19. Governing law and dispute resolution
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-laws principles. Disputes are subject to the courts in Dhaka, Bangladesh, except where applicable law requires another forum or gives you a right to bring a claim elsewhere. Nothing in these Terms limits mandatory consumer-protection rights in your country of residence.
20. Miscellaneous
• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the App and supersede any prior agreements on that subject.
• Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
